Articles of Association
Friends of the Long Beach Firefighters

The organization shall be known and referred to as the “Friends of the Long Beach Firefighters” (FOLBFF).

ARTICLE II: Objectives and Purposes
This organization is a non-profit and non-partisan volunteer group. It is a community service organization and is not organized for the private gain of any single individual. It is organized under the Nonprofit Organization Law exclusively for non-profit purposes, under the direction of the Long Beach Fire Department.

Under the direction of the Long Beach Fire Department the FOLBFF shall:
A. Promote the on-going training and service programs of the Long Beach Fire Department:

    1. Fire Ambassadors
    2. CERT
    3. LBFD Kids
    4. Junior Lifeguards
    5. Christmas Program
    6. Other programs as determined by the Board of Directors

B. Conduct fund raising events to support the activities of service programs and to raise the public’s awareness of these services:

  1. Assist in the preparation and distribution of flyers, brochures and related materials at community fairs, celebrations and public events.

C. Strengthen communication between the community and the Fire Department.

  1. Organize, coordinate, and/or maintain a listing of community events and groups that conduct such events
  2. Support Fire Department attendance and participation at community events

D. Support on-going Community service programs.

ARTICLE III: Powers and Duties of Organization
A. This organization is organized and operated exclusively for educational and charitable purposes within the meaning of Section 501 (c)(3) of the Internal Revenue Code.

B. All powers and duties of the organization are subject to prior review and approval of the Fire Chief or their representative and may consist of creating, implementing, advising and sponsoring programs to inform the community about the Long Beach Fire Department and the subjects covered in the objectives and purposes (Article II) of the organization.

The authorized number and qualifications of members of this organization, the different classes of memberships, property, and voting rights and privileges of members, shall be prescribed from time to time in the By-Laws of the organization.

ARTICLE V: Termination of Members
A. Conduct that is, in the opinion of the Board of Directors, detrimental to the best interest of the organization, including failure to actively participate in activities, may result in termination of membership.

B. The Fire Chief shall have full and final authority over the organization
membership and may remove or replace members with or without cause for
the betterment of the department or the organization.

ARTICLE VI: Duties of Officers

A. President (Chair)

  1. Conduct all meetings (annual, quarterly and special).
  2. Appoint committees as needed.

B. Vice-President (Vice-Chair)

  1. Act as Chair during President’s absence.
  2. Assist President as needed.

C. 1st Vice-President
1. Act as Chair during the President and Vice-President’s absence
2. Assist President as directed


D. Treasurer
1. Receive and deposit all funds.
2. Maintain financial records.
3. Pay all bills and expenses as approved by the Board of Directors.

E. Secretary
1. Maintain minutes, records and files of meetings.
2. Maintain records of volunteer hours served.
3. Maintain records of attendance at meetings
4. Notify members of all meetings and special events.
5. Prepare the agenda for all meetings.

F. Parliamentarian
1. Attend all meetings.
2. Render advice based on By-Laws and Articles.
3. Maintain copies of By-Laws, Articles of Association and amendments on file.
4. Act as Assistant Treasurer


A. Regular meetings of the members shall be held quarterly at a time, date and place determined by the President.

B. Members will be notified by the Secretary of all meetings and special events through normal communications methods (e-mail, phone, mail, etc.).

C. An annual meeting of the members shall be held in the month of December at a time, date, and location determined by the Board of Directors.

D. Special meetings of the members may be called by the President, by a majority of the Board of Directors, or on the written request of five (5) members.

ARTICLE VIII: Dissolution
All property and assets of this organization are irrevocably dedicated to charitable and educational purposes meeting the requirements for exemptions provided by Section 501(c)(3) of the Internal Revenue Code and the California Revenue and Taxation Code. No part of said property or assets, shall ever inure to the benefit of any Director, Officer, or to the benefits of any private individual. Upon the dissolution, winding up, or abandonment of the organization, all assets remaining after payment of expenses, or provision for payment of all debts or liabilities of this organization shall be distributed for use to a 501(c)(3) Nonprofit Association of choice within sixty (60) days of dissolution.

ARTICLE IX: Principle Office
The principle office of the organization shall be the offices of the Long Beach Fire Department, headquartered at 3205 Lakewood Boulevard, Long Beach, California 90808, Telephone (562) 570-2500.

ARTICLE X: Non-Discrimination
The Organization shall not discriminate against any prospective member or group based on their race, creed, gender, color, or national origin.

ARTICLE XI: Amendments
These Article of Association may be amended by a majority vote of the members in good standing at any regular or special Board meeting provided: (a) a notice of intention to call for such a vote is given at a meeting which a quorum is present, (b) the Board of Directors has approved the amendment. Nothing in these articles shall conflict with the By-laws of this organization.
